These Terms of Use (“Terms”) govern your access to and use of the websites, webpages, digital platforms and online content operated by GLD Alloys (Malaysia) Sdn. Bhd. and its related companies and affiliates (“GLD Alloys”, “we”, “us” or “our”), including the website located at www.gldalloys.com (collectively, the “Site”).

By accessing or using the Site, you confirm that you have read, understood and agreed to be bound by these Terms and our Privacy Notice.

If you do not agree with these Terms, please do not access or use the Site.

1. Changes to These Terms

We may revise these Terms periodically to reflect changes in our business, Site, technology or legal obligations.

Any revised Terms will take effect when published on the Site unless otherwise stated. The “Effective Date” displayed at the top of this page indicates when these Terms were last updated.

Your continued use of the Site following the publication of revised Terms constitutes your acceptance of those changes.

The Site and all materials made available through it, including text, product descriptions, technical information, alloy designations, specifications, tables, charts, photographs, videos, graphics, designs, drawings, documents, software, source code, trademarks, logos, trade names and the arrangement of such materials are collectively referred to as the “Content”.

The Content is owned by, licensed to or otherwise lawfully used by GLD Alloys and is protected by applicable copyright, trademark and other intellectual property laws.

Except for the limited rights expressly granted under these Terms, GLD Alloys reserves all rights, title and interest in the Site and Content.

3. Permitted Use

You may access and use the Site and Content solely for lawful informational and business purposes connected with evaluating GLD Alloys, our aluminium products, manufacturing capabilities and services.

You may download or print a reasonable number of pages for your own internal, non-commercial reference, provided that you:

• Do not alter the Content;
• Retain all copyright, trademark and proprietary notices;
• Do not represent the Content as your own;
• Do not use the Content in a misleading manner; and
• Comply with these Terms and all applicable laws.

No other right or licence is granted, whether expressly, by implication or otherwise.

4. Intellectual Property Rights

The name GLD Alloys, the GLD Alloys logo, related company names, product names, slogans, designs, trade dress and other brand elements displayed on the Site are trademarks, service marks or intellectual property belonging to GLD Alloys or their respective owners.

You may not use, reproduce, publish, modify, distribute, display or create derivative works from any GLD Alloys name, logo, trademark, photograph, video, technical document or other Content without our prior written permission.

Nothing on the Site grants any licence or right to use GLD Alloys’ intellectual property except as expressly stated in these Terms.

Third-party trademarks and materials appearing on the Site remain the property of their respective owners. Their appearance does not grant you any right to use them.

5. Restrictions on Use

You must not:

• Use the Site or Content for any unlawful, fraudulent or unauthorised purpose;
• Copy, reproduce, republish, sell, license, distribute, modify, translate, adapt or commercially exploit the Site or Content without prior written permission;

• Test or circumvent the security or authentication measures of the Site;
• Introduce viruses, malware, ransomware, malicious code or other harmful material;

• Frame, mirror or reproduce any part of the Site on another website without written permission; or
• Use the Site in any manner that could damage GLD Alloys’ reputation, operations, systems or business interests.

We reserve the right to restrict or terminate access where we reasonably believe that these Terms have been violated.

6. Product and Technical Information

Information on the Site concerning aluminium products, alloy grades, chemical compositions, mechanical properties, dimensions, tolerances, production capacity, applications, testing methods, sustainability attributes and manufacturing processes is provided for general informational purposes only.

Although GLD Alloys makes reasonable efforts to maintain accurate and current information:

• Actual product specifications may vary according to customer requirements, manufacturing conditions and agreed tolerances;
• Product images and illustrations may differ from the actual product;
• Chemical and mechanical properties may depend on the applicable alloy, temper, production method and technical standard;
• Product availability, production capacity and lead times may change;
• Applicable standards and customer requirements may differ between jurisdictions and industries; and
• Website information should not be used as the sole basis for engineering, safety-critical, aerospace, automotive, marine or other regulated applications.

Customers are responsible for confirming that a product is suitable for its intended application.

7. Quotations, Orders and Commercial Transactions

The Site and Content are provided for general informational and promotional purposes.

Nothing on the Site constitutes or shall be interpreted as:

• A binding offer to sell or supply products;
• A formal quotation or proposal;
• Acceptance of a purchase order;
• A guarantee of price, availability, production capacity or delivery time;
• A contractual commitment;
• Technical or engineering advice; or
• A representation that a particular product is suitable for a specific application.

All prices, alloy grades, specifications, minimum order quantities, lead times, delivery arrangements and commercial terms are subject to written confirmation by GLD Alloys.

Any sale or supply of products will be governed by the applicable quotation, sales confirmation, purchase order accepted by GLD Alloys, written contract and any applicable conditions of sale.

If there is any inconsistency between the Site and an executed contract or formally accepted commercial document, the executed contract or formally accepted document will prevail.

8. Certificates, Test Reports and Compliance Information

References on the Site to certifications, standards, approvals, laboratory testing, sustainability programmes or quality management systems are provided for general information.

Certification status, scope and applicability may change and may differ between products, facilities, processes and production periods.

Only an official certificate issued by the relevant certification body and valid at the applicable time may be relied upon as evidence of certification.

Product-specific chemical composition, mechanical properties, test results, country of origin and conformity must be confirmed through the applicable:

• Material Test Certificate or Material Test Report;
• Certificate of Analysis;
• Certificate of Conformity;
• Inspection report;
• Approved technical specification; or
• Other official documentation issued for the relevant production batch or order.

General information on the Site does not replace product-specific documentation and does not constitute a certification or guarantee.

9. Information Submitted by You

If you submit an enquiry, specification, drawing, document, comment, feedback, résumé or other information through the Site, you confirm that:

• The information is accurate and not misleading;
• You have the legal right and authority to provide it;
• Its submission does not violate any contractual, confidentiality or intellectual property obligation;
• It does not infringe the rights of any third party; and
• It does not contain malicious code or unlawful material.

You retain ownership of your confidential technical documents and other proprietary materials.

By submitting information, you grant GLD Alloys the limited right to use, review, reproduce and internally share it only as reasonably necessary to respond to your request, evaluate a business opportunity, prepare a quotation, process an application or carry out the purpose for which it was submitted.

Personal Information will be handled in accordance with our Privacy Notice.

Please do not submit trade secrets, export-controlled information or highly sensitive materials through a general website form. Such materials should only be provided through an agreed secure communication channel.

10. Feedback

If you voluntarily provide general comments, ideas or suggestions relating to our Site, products or services that are not identified as confidential, GLD Alloys may use that feedback for legitimate business and improvement purposes without compensation or attribution.

This provision does not transfer ownership of customer drawings, product specifications or confidential commercial information to GLD Alloys.

The Site may link to GLD Alloys’ social media pages.

Content posted by third parties on or in connection with our social media pages does not necessarily reflect GLD Alloys’ views. We may remove inappropriate, unlawful, misleading or unauthorised content and restrict users who misuse our social media channels.

Following, liking, sharing or reposting third-party content does not constitute GLD Alloys’ endorsement of that individual, company, product or service.

Our collection and handling of Personal Information through the Site are governed by our Privacy Notice.

By using the Site or providing Personal Information, you acknowledge that you have reviewed our Privacy Notice.

GLD Alloys makes reasonable efforts to maintain accurate and reliable Content but does not warrant that:

The limitations in these Terms apply only to the Site and Content. They do not replace or modify any liability provisions contained in a separate written contract between GLD Alloys and a customer, supplier or other party.

16. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless GLD Alloys, its related companies, directors, officers, employees, representatives and service providers from claims, liabilities, damages, losses and reasonable costs arising from:

• Your unlawful or unauthorised use of the Site or Content;
• Your breach of these Terms;
• Information or materials submitted by you;
• Your infringement of another party’s rights; or
• Your violation of applicable law.

17. Site Availability and Termination

We may modify, suspend, restrict or discontinue any part of the Site or Content at any time without prior notice.

Nothing on the Site constitutes legal, customs, regulatory, export-control, engineering or professional advice.

19. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of Malaysia, without regard to conflict-of-law principles.

Any dispute arising out of or relating to the Site, Content or these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.

Nothing in this section prevents GLD Alloys from seeking urgent injunctive or protective relief in any jurisdiction where its rights, systems or intellectual property may be at risk.

20. General Provisions

Assignment

GLD Alloys may assign or transfer its rights and obligations under these Terms as part of a restructuring, merger, acquisition or transfer of business.

You may not assign your rights or obligations under these Terms without our prior written consent.

No Waiver

Failure by GLD Alloys to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary. The remaining provisions will continue in full force.

Entire Agreement

These Terms, together with our Privacy Notice and any other terms displayed on the Site, constitute the entire agreement concerning your access to and use of the Site.

They do not replace any separately executed sales, supply, confidentiality or other commercial agreement.

Electronic Communications

Where permitted by law, notices and communications relating to the Site may be provided electronically.
